OFFICIAL RULES FOR THERABREATH “READY. FRESH. GO…SEE DEMI LOVATO WITH THERABREATH” SWEEPSTAKES

NO PURCHASE NECESSARY TO ENTER OR WIN. VOID IN ALASKA, HAWAII AND WHERE PROHIBITED. 

THESE OFFICIAL RULES INCLUDE A CLASS ACTION WAIVER AND RESOLUTION OF DISPUTES BY ARBITRATION. PLEASE READ SECTION 8 CAREFULLY.

  1. The Sweepstakes Period: The TheraBreath “Ready. Fresh. Go… See Demi Lovato with TheraBreath” Sweepstakes (“Sweepstakes”) begins at 9:00 AM Eastern Time (“ET”) on April 20, 2026 and ends at 11:59 PM ET on May 3, 2026 ("Sweepstakes Period").

  2. Eligibility: Open only to legal residents of the contiguous 48 United States and the District of Columbia who are 18 years of age or older and have reached the age of majority in their state of legal residence at the time of entry. Employees of Church & Dwight Co., Inc. (“Sponsor”), Coyne PR, Trymark Consulting Group, L.L.C., and their respective parents, affiliates, subsidiaries, advertising and promotion agencies, retailers, distributors and suppliers, and the immediate families (spouse, parents, children and siblings and their respective spouses, regardless of where they reside) and individuals living in the same households of such employees, whether or not related, are ineligible to enter the Sweepstakes. To be eligible to enter or receive the prize, an entrant must fully comply with these Official Rules and, by entering, represents and warrants that entrant agrees to be bound by these Official Rules and the decisions of the Sponsor and/or judging organization, whose decisions shall be binding and final in all respects relating to this Sweepstakes. Void in Alaska, Hawaii and where prohibited by law. Subject to all applicable federal, state and local laws and regulations.

  3. How to Enter: During the Sweepstakes Period, you (the “Entrant”) may enter in the following way: (i) locate the promotional post by visiting the @therabreath Instagram page (and follow the page, if not already doing so), and (ii) using your Instagram account, comment on the promotional post by tagging one (1) friend you would like to accompany you on the Grand Prize trip if selected as the winner (the “Entry”). Please note: A tagged friend will not receive an Entry unless they independently enter the Sweepstakes. You must follow @therabreath and tag a friend in your post in order for your Entry to be eligible. Note: If you stop following the @therabreath Instagram account, have your Instagram account set to private, or deactivate your Instagram account at any time prior to the end of the Sweepstakes Period, your Entry will be void. To receive one (1) additional bonus entry, follow the instructions to share the promotional post to your Instagram story with the required hashtag #TheraBreathSweepstakes (the “Bonus Entry”). Each Entry must be submitted in accordance with Instagram’s terms of use and community guidelines. Multiple Entrants are not permitted to share the same Instagram account, and each Entrant may not use multiple Instagram accounts to submit Entries. If you do not have an Instagram account, you may sign up for a free account at www.instagram.com or via the Instagram app. The Instagram app is available for free download in the Apple or Google Play app stores. By submitting your information and creating an Instagram account, you will be required to agree to the Instagram terms of service and privacy policy. If you do not agree to Instagram’s terms of service and privacy policy, you cannot create an Instagram account or submit an Entry. Data charges may apply if you are accessing Instagram from your mobile phone to enter this Sweepstakes. Limit two (2) Entries (one (1) Entry and one (1) Bonus Entry) per Entrant during the Sweepstakes Period. All Entries become the property of the Sponsor and will not be acknowledged or returned. Entries received in excess of the stated limitation will be void. If a dispute arises regarding the identity of the Entrant, the authorized account subscriber of the Instagram account used to submit the Entry will be deemed the Entrant and required to comply with these Official Rules and all requirements set forth herein. The “authorized account subscriber” is defined as the natural person assigned to the Instagram account by Instagram.

  4. Winner Selection: On or about May 4, 2026, one (1) potential Grand Prize winner will be selected in a random drawing from among all eligible Entries received during the Sweepstakes Period. Drawing will be conducted by Trymark Consulting Group, L.L.C., an independent judging organization whose decisions are final and binding. Odds of winning will depend on the total number of eligible Entries received.

  5. Grand Prize package (1): The Grand Prize package consists of a trip for two (2) (winner and one (1) guest) to Austin, TX between May 22, 2026 and May 25, 2026, to attend a concert tour stop (the “Event”). Trip consists of the following: (i) roundtrip coach commercial air transportation from a major U.S. gateway airport near winner’s residence (as determined by Sponsor) to Austin, TX;  (ii) standard occupancy accommodations for four (4) days/three (3) nights at a hotel designated by Sponsor; (iii) two (2) tickets to attend the Event scheduled to take place on 5/24/26 (Event details and seat locations are to be solely determined by Sponsor); (iv) one (1) TheraBreath gift basket (basket contents to be determined by Sponsor in its sole discretion); and (vi) $1,000.00 (awarded in the form of a $1,000.00 check) for winner only to be used as a travel stipend and/or to offset tax implications. Total maximum Estimated Retail Value (“ERV”) of Grand Prize is $5,000.00. The value for travel portion of prize is an estimate made before the Sweepstakes begins. Actual value of trip portion of prize may vary based upon location of departure city. Travel must be completed between the dates specified above. If potential winner is unable to complete travel between dates specified above, the prize will be forfeited and Sponsor will have no further obligation to such winner. Time permitting, Sponsor will use reasonable efforts to award the prize to an alternate winner. Travel is subject to capacity controls, availability, and certain other restrictions, all of which are subject to change. If a winner resides within a one hundred (100)-mile radius of Austin, TX, ground transportation will be provided in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. If, for whatever reason, any portion of the trip or Event is cancelled or postponed, no compensation or substitution will be provided, however remainder of prize package will be awarded, and Sponsor shall have no further obligation to such winner. Travel arrangements must be made through Sponsor’s agent, on a carrier of Sponsor’s choice no later than May 11, 2026. The “Released Parties” (as defined below) are not liable for any expenses incurred as a consequence of the cancellation or delay of any flight or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any prize-related services or accommodations beyond their control. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. All airline tickets are subject to flight variation, work stoppages, and schedule or route changes. Released Parties are not responsible and will have no liability if winner and/or their guest are for any reason not permitted to travel by the relevant airport authorities or misses a flight or other travel element. Winner and guest must travel together on the same itinerary, including the same departure date, destination and return date. No stopovers are permitted on airline tickets issued as a prize; if a stopover occurs, the prize will terminate at the stopover point and full fare will be charged for the remaining segments, including the return, of the trip. An unclaimed and/or unused prize element will be forfeited. Winner understands that there are inherent risks involved in travel and that these risks may be present before, during and after the trip. If winner elects to partake in any or all portions of the prize with no guest, the prize will be awarded to winner and any remainder of the prize will be forfeited and shall not be subject to further or alternative compensation. Guest of winner must be of legal age of majority in his/her state of residence (and at least 18), unless he/she is a winner’s child or legal ward. Guest (or winner, if guest is winner’s child or legal ward) must execute and return a travel liability/publicity release (where legally permitted) prior to travel. Winner and guest are responsible for obtaining all travel documents required by airline and comply with all applicable hotel check-in requirements, such as presentation of a major credit card. Winner and guest must comply with all applicable Event venue rules and regulations. Sponsor reserves the right to deny participation or remove winner and/or their guest from Event or any activity if either engages in illegal conduct or behaves in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at any time, or appears to be under the influence of drugs or alcohol. Winner will be issued an IRS Form 1099-MISC for the value of the prize and is responsible for all taxes (including federal, state, and local taxes) and any other costs and expenses associated with acceptance and use of the prize not described herein as being awarded, including but not limited to luggage fees, ground transportation, meals, gratuities and souvenirs. Prize is not transferable, redeemable for cash, or substitutable except by Sponsor, which reserves the right, at its discretion, to substitute the prize or portion of the prize with one of comparable or greater value. 

  6. Winner Notification: Potential winner will be notified by DM to their Instagram account provided in the Entry and will be required to respond within forty-eight (48) hours of its issuance. If potential winner does not actively follow the @therabreath Instagram account at the time of notification, the DM may appear as a message request in Instagram. It is the potential winner’s responsibility to check that folder and accept the message within the stated time period. Potential winner will be required to execute and return an affidavit of eligibility and a liability release and, where legal, a publicity release within forty-eight (48) hours of date of issuance of those documents or prize may be forfeited and, at Sponsor's discretion, awarded to an alternate winner. In the event that a response to any given DM is not received within forty-eight (48) hours of issuance, potential winner fails to execute and return an affidavit of eligibility and a liability release within the specified timeframe, or potential winner is not in compliance with these Official Rules, the prize may be forfeited and, at Sponsor’s discretion if time permits, an alternate winner may be selected. 

  7. Release of Liability; General Terms: By participating, Entrants agree as follows:  a) to abide by these Official Rules, and to the decisions of Sponsor and/or the judging organization, which shall be final and binding in all respects; b) to the use of their name and/or likenesses and/or biographical data by Sponsor and its designees if selected as the winner for advertising, promotional and other purposes in any or all media now or hereafter known throughout the world in perpetuity without compensation, permission or notification (except where prohibited by law); and c) THAT SPONSOR, COYNE PR, TRYMARK CONSULTING GROUP, L.L.C., INSTAGRAM, AND ANY OF THEIR RESPECTIVE PARENTS, AFFILIATES, SUBSIDIARIES, ADVERTISING AND PROMOTION AGENCIES, RETAILERS, DISTRIBUTORS AND SUPPLIERS, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, AGENTS, AND EMPLOYEES (COLLECTIVELY, THE “RELEASED PARTIES”) SHALL HAVE NO LIABILITY FOR, AND SHALL BE RELEASED AND HELD HARMLESS FROM AND AGAINST, ANY DAMAGE, LOSS OR INJURY TO ANY ENTRANT OR ANY THIRD PARTY OR PROPERTY RESULTING FROM PARTICIPATION IN THIS SWEEPSTAKES OR THE USE OR MISUSE OF THE PRIZE (INCLUDING ANY TRAVEL OR ACTIVITY RELATED THERETO). PRIZE IS AWARDED “AS IS” WITHOUT ANY REPRESENTATIONS OR WARRANTIES EXCEPT FOR ANY “IN THE BOX” WARRANTY THAT MAY BE PROVIDED WITH THE PRIZE. Released Parties are not responsible for lost, delayed, interrupted or unavailable network, cable, satellite, Internet Service Provider (ISP), server or other connections, miscommunications, failed phone, computer or telephone transmissions or technical failure, jumbled, scrambled or misdirected transmissions, or other errors, problems or difficulties of any kind whether computer, network, human, mechanical, electronic, printing, typographical or otherwise relating to or in connection with this Sweepstakes, including, without limitation, errors, problems or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of Entries, the failure of any prize notification or delivery due to Entrant’s privacy settings, inactive accounts, incorrect information, or failure to monitor direct messages, the announcement of the prize or in any Sweepstakes-related materials or for any damage to participant’s or other person’s hardware or software as a result of participation. Released Parties are also not responsible for Entries or mail that are illegible, lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered or postage due, or garbled or delayed by computer transmissions and all such Entries are void. Persons found tampering with or abusing any aspect of this Sweepstakes as solely deter¬mined by the Sponsor and/or the judging organization will be disqualified, and their Entries will be void. Every submission must be manually keystroked and manually entered by the individual participant and repetitive automated electronic submission of Entries is specifically disallowed. Use of script, macro or automated entry software or programs or any other means that subvert the entry process is prohibited and all such Entries will be void. In the event the Sweepstakes is compromised, as determined by Sponsor in its sole discretion, by virus, bugs, worms, non-authorized human intervention or other causes which corrupt or impair the administration, security, fairness or proper play of the Sweepstakes, including but not limited to Acts of God, epidemic or pandemic, Sponsor reserves the right in its sole discretion to modify, suspend or terminate the Sweepstakes or any portion thereof and/or terminate the participation of any Entrant (and void all associated Entries) whose conduct potentially compromises the Sweepstakes and, if terminated, at its sole discretion to award the prize in a random drawing from among all eligible non-suspect Entries received prior to the act requiring such termination. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. CAUTION: Any attempt by a participant to damage the website or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek any and all remedies available to the fullest extent permitted by law. Promotion is governed by the laws of the State of New Jersey without regard to its conflict of laws principals, with venue in Mercer County, New Jersey.

  8. DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER: EXCEPT WHERE PROHIBITED BY LAW, AS A CONDITION OF PARTICIPATING IN THIS SWEEPSTAKES, YOU AGREE THAT A) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN AWARDS FOR, AND YOU HEREBY WAIVE ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT OF POCKET EXPENSES, IF ANY; B) ALL CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS SWEEPSTAKES, OR ANY COMPENSATION OR CREDIT TO BE PROVIDED, SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION AND EXCLUSIVELY BY FINAL AND BINDING ARBITRATION IN ACCORDANCE WITH THE FEDERAL ARBITRATION ACT (“FAA”, Title 9 of the United States Code) UNDER THE AUSPICES OF THE AMERICAN ARBITRATION ASSOCIATION; C) THE  FEDERAL ARBITRATION ACT SHALL GOVERN THE INTERPRETATION, ENFORCEMENT AND ALL PROCEEDINGS AT SUCH ARBITRATION; AND D) JUDGMENT UPON SUCH ARBITRATION AWARD MAY BE ENTERED IN ANY COURT HAVING JURISDICTION. YOU HAVE A RIGHT TO OPT-OUT OF THIS ARBITRATION PROVISION. IF YOU DO NOT AGREE TO THIS MANDATORY ARBITRATION PROVISION WITH REGARD TO THIS PROMOTION, THEN WITHIN THIRTY (30) DAYS FROM THE DATE OF YOUR ENTRY, YOU MAY OPT-OUT OF THIS, AND ONLY THIS, PART OF THE OFFICIAL RULES BY NOTIFYING THE SPONSOR OF SUCH OPT-OUT REQUEST BY PROVIDING WRITTEN NOTICE AND MAILING SUCH NOTICE TO: THERABREATH ”READY. FRESH. GO… SEE DEMI LOVATO WITH THERABREATH” SWEEPSTAKES – ARBITRATION REJECTION, P.O. BOX 295, GAINESVILLE, VA 20156. ANY OPT-OUT RECEIVED AFTER THE THIRTY (30) DAY TIME PERIOD WILL NOT BE VALID AND YOU MUST PURSUE YOUR CLAIM, IF ANY, VIA ARBITRATION PURSUANT TO THESE OFFICIAL RULES. ANY AND ALL CLAIMS, JUDGMENTS, AND AWARD SHALL BE LIMITED TO ACTUAL OUT OF POCKET COSTS INCURRED, IF ANY, AND IN NO EVENT SHALL YOU BE ENTITLED TO RECEIVE ATTORNEYS’ FEES OR OTHER LEGAL COSTS OR EXPENSES.

    IN THE EVENT THAT YOU OPT-OUT OF THIS MANDATORY ARBITRATION PROVISION, YOU AGREE THAT ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS SWEEPSTAKES SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND EXCLUSIVELY BY A FEDERAL OR STATE COURT LOCATED IN MERCER COUNTY, NEW JERSEY. YOU IRREVOCABLY CONSENT TO THE JURISDICTION OF SAID COURTS AND WAIVE ANY CLAIM OF FORUM NON CONVENIENS OR LACK OF PERSONAL JURISDICTION THAT YOU MAY HAVE.

  9. Use of Personal Information: Information submitted in connection with the Sweepstakes will be treated in accordance with these Official Rules and Sponsor's Privacy Policy (as may be amended from time to time), currently located at https://churchdwight.com/privacy-policy.aspx; provided, that in the event of any conflict between these Official Rules and such Privacy Policy, the terms and conditions of these Official Rules shall prevail.

  10. Winner List: The name of the winner (available after May 21, 2026) and/or a copy of these Official Rules may be obtained by mailing a self-addressed, stamped #10 envelope to: TheraBreath “Ready. Fresh. Go… See Demi Lovato with TheraBreath” Sweepstakes - Winner/Rules (please specify which), P.O. Box 295, Gainesville, VA  20156, for receipt no later than July 31, 2026. VT residents omit return postage on rules requests.
